Terms of Service
Effective and last updated: October 6, 2026
1. Agreement and eligibility
These Terms of Service are a binding agreement between you and Riley Trade Exchange LLC, a Missouri limited liability company ("Riley Trade Exchange," "RTE," "we," or "us"). By creating an account or using the service, you agree to these Terms and acknowledge the Privacy Policy. You must be at least 18 years old and able to enter a binding agreement for yourself or the business you represent.
If you use the service for a company, you represent that you have authority to bind that company. Do not create or use an account if you do not agree to these Terms.
2. Marketplace role
RTE provides an online marketplace that helps independent roofing contractors and crews discover opportunities, exchange job information, submit offers, connect, and communicate. RTE is not a roofing contractor, subcontractor, employer, joint employer, staffing agency, insurer, payment guarantor, or party to the agreement between marketplace users.
RTE does not direct a crew's work, set a crew's labor price, supply tools, supervise a jobsite, guarantee payment, or guarantee the quality, safety, legality, timing, or completion of any job. Each contractor and crew decides whether to enter a separate agreement with the other and is responsible for that agreement.
3. User responsibilities
Users must provide current, accurate, and nonmisleading account, job, pricing, availability, insurance, certification, licensing, and contact information. Contractors are responsible for job scope, property authorization, permits, code compliance, scheduling, jobsite safety coordination, and paying crews under their agreement. Crews are responsible for their personnel, supervision, workmanship, tools and equipment, payroll, taxes, required licenses, and legally required insurance, including workers' compensation when applicable.
Before work begins, the contractor and crew should enter a written agreement covering scope, price, change orders, schedule, materials, safety, insurance, payment timing, warranties, and dispute handling. RTE does not replace that agreement.
4. Verification and badges
A "Riley Verified" or similar badge means only that RTE reviewed the particular information or document identified by the badge at the time of review. Unless the service expressly states otherwise, RTE does not independently investigate the issuer, confirm continuing coverage, conduct background checks, inspect work, or guarantee identity, qualifications, workmanship, safety, financial condition, or legal compliance.
Documents can expire, be cancelled, or become inaccurate after review. Users must keep their information current. Other users must perform their own due diligence and obtain current certificates directly from the issuing insurer or organization when appropriate.
5. Fees, connections, and refunds
Browsing, creating a profile, posting jobs, and expressing interest may be offered without charge. A contractor may purchase a $50 pay-as-you-go connection or a $299 Riley Unlimited plan, as shown at checkout. A connection unlocks the contact and messaging features described at checkout for the selected contractor and crew. Fees do not purchase labor, reserve a crew, guarantee acceptance, or guarantee a completed job.
The $299 plan lasts 12 months from purchase and does not automatically renew unless the checkout clearly discloses automatic renewal and the contractor separately consents. Except where required by law, connection fees are nonrefundable after contact information or messaging access is unlocked. RTE will correct verified duplicate charges or technical billing errors. Any different refund or promotional terms shown at checkout control for that purchase.
6. Payments between users
Unless RTE later offers a separate payment product with additional terms, contractors and crews arrange and make job payments directly. RTE is not responsible for collecting, holding, releasing, withholding, or guaranteeing job payments, or for liens, chargebacks, taxes, wage claims, or collection disputes between users.
7. Acceptable use
You may not impersonate another person, create fraudulent jobs or offers, submit false credentials, misuse private contact information, scrape the service, introduce malicious code, harass or discriminate against another user, evade a lawful suspension, or use the service for illegal or unsafe activity. You may not use another user's information outside legitimate marketplace business or sell it to a third party.
8. User content and communications
You retain ownership of information, photos, documents, and messages you submit. You grant RTE a limited license to host, copy, process, display, and transmit that content as needed to operate, secure, verify, and improve the service. You represent that you have the right to provide the content and that it does not violate another person's privacy, intellectual-property, or other rights.
RTE may preserve and review marketplace content when reasonably necessary for support, fraud prevention, safety, enforcement, or legal compliance. Do not upload Social Security numbers, bank credentials, medical records, or other information not requested by the service.
9. Account action and termination
RTE may restrict, suspend, or terminate access when reasonably necessary to address fraud, safety, legal, security, nonpayment, or marketplace-integrity concerns. A user may request account deletion in Settings. The account is disabled promptly, while deletion or anonymization is completed subject to records RTE must or reasonably needs to retain as explained in the Privacy Policy.
10. Disclaimers and limitation of liability
To the fullest extent permitted by law, the service is provided "as is" and "as available." RTE disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. RTE is not liable for a user's acts or omissions, jobsite injury or damage, defective work, payment disputes, lost profits, lost opportunities, or indirect, incidental, special, consequential, or punitive damages.
To the fullest extent permitted by law, RTE's aggregate liability arising from the service will not exceed the greater of $100 or the fees you paid RTE during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not permit them and do not limit liability that cannot legally be limited.
11. Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless RTE and its owners, personnel, and service providers from third-party claims, losses, and reasonable costs arising from your content, your violation of these Terms, your job or agreement with another user, your personnel, or your violation of law or another person's rights. This obligation does not apply to the extent a claim results from RTE's own unlawful conduct.
12. Governing law and disputes
Missouri law governs these Terms, without regard to conflict-of-law rules. Before filing a lawsuit, you and RTE agree to send written notice describing the dispute and make a good-faith effort to resolve it for 30 days. Unless applicable law requires otherwise, court proceedings must be brought in the state or federal courts serving St. Charles County, Missouri. Nothing here prevents either party from seeking urgent injunctive relief or using an eligible small-claims court.
13. Changes and contact
RTE may update these Terms as the service changes. Material changes will be presented in the service or sent to the account email, and will apply prospectively from the stated effective date. Continued use after the effective date constitutes acceptance when permitted by law. Questions or legal notices may be sent to rileytradeexchange@gmail.com.
